Software License Agreement

This Software License Agreement (“Agreement”) governs your access to and use of software products, applications, artificial intelligence tools, automation platforms, websites, APIs, and related services (“Software”) provided by NC Digital Web Design, LLC (“NC Digital,” “we,” “our,” or “us”).

By accessing, installing, subscribing to, or using any NC Digital Software, you agree to be legally bound by this Agreement.

1. License Grant

NC Digital grants you a limited, non-exclusive, non-transferable, revocable license to use our Software solely for your internal business or personal use in accordance with this Agreement.

This license does not transfer ownership of the Software.

2. Ownership

All Software provided by NC Digital remains the exclusive intellectual property of NC Digital Web Design, LLC.

This includes, but is not limited to:

• Source code
• AI systems
• AI prompts
• Workflows
• Algorithms
• Software architecture
• Databases
• APIs
• User interfaces
• Branding
• Graphics
• Documentation
• Images
• Logos
• Trademarks

Nothing contained in this Agreement transfers ownership of any intellectual property to the user.

3. Permitted Use

You may use our Software to:

• Operate your business
• Communicate with customers
• Manage appointments
• Capture leads
• Automate workflows
• Improve customer service
• Access licensed software features

Your license remains valid only while your subscription or agreement with NC Digital remains active.

4. Restrictions

You may not:

• Copy or duplicate the Software
• Reverse engineer any portion of the Software
• Modify source code
• Remove branding or copyright notices
• Resell the Software without written authorization
• Lease or sublicense the Software
• Share login credentials with unauthorized users
• Attempt to bypass licensing controls
• Use the Software for illegal activities
• Introduce malicious software or code

Violation of these restrictions may result in immediate suspension or termination.

5. Artificial Intelligence Features

Some NC Digital products include artificial intelligence functionality.

AI-generated responses:

• Are generated automatically.
• May occasionally contain inaccuracies.
• Should not replace professional legal, medical, financial, accounting, or other licensed advice.
• Should always be independently verified before making important business decisions.

NC Digital does not guarantee every AI-generated response is complete or error-free.

6. Customer Data

Customers retain ownership of the information they submit into our Software.

By using our Software, you grant NC Digital permission to process information necessary to:

• Deliver services
• Improve Software
• Monitor performance
• Detect security issues
• Provide customer support

Our handling of personal information is governed by our Privacy Policy.

7. Updates

NC Digital may:

• Release software updates
• Add new features
• Improve existing functionality
• Remove obsolete features
• Patch security vulnerabilities
• Improve AI models

Updates may occur automatically where applicable.

8. Subscription Services

Certain Software products require an active subscription.

Subscriptions may include:

• Monthly plans
• Annual plans
• Managed website plans
• AI Assistant services
• Software licensing
• Premium support

Failure to maintain an active subscription may result in suspension or termination of access.

9. Third-Party Services

Our Software may integrate with third-party providers, including payment processors, mapping services, AI providers, analytics platforms, email services, scheduling software, and other external applications.

NC Digital is not responsible for outages, interruptions, pricing changes, or actions taken by third-party providers.

10. Availability

While we strive for reliable service, we cannot guarantee uninterrupted availability.

Service interruptions may occur due to:

• Scheduled maintenance
• Security updates
• Internet outages
• Third-party failures
• Hardware issues
• Software updates

11. Termination

NC Digital reserves the right to suspend or terminate Software access if:

• This Agreement is violated.
• Fraudulent activity is detected.
• Payments become delinquent.
• Illegal activity occurs.
• Software security is compromised.

Upon termination, all licenses granted under this Agreement immediately end.

12. Warranty Disclaimer

The Software is provided “AS IS” and “AS AVAILABLE.”

NC Digital makes no warranties, express or implied, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Continuous availability
• Accuracy of AI-generated responses

13. Limitation of Liability

To the fullest extent permitted by law, NC Digital shall not be liable for:

• Lost profits
• Lost revenue
• Business interruption
• Data loss
• AI inaccuracies
• Security incidents caused by third parties
• Indirect or consequential damages

Our total liability shall never exceed the amount paid by the customer for the Software during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless NC Digital, its owners, employees, contractors, affiliates, and partners against claims, damages, losses, liabilities, and expenses arising from:

• Your misuse of the Software.
• Your violation of this Agreement.
• Your violation of applicable laws.
• Content you submit through the Software.

15. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of North Carolina, without regard to conflict of law principles.

Any legal disputes shall be resolved in the state or federal courts located in North Carolina.

16. Changes to This Agreement

NC Digital may update this Software License Agreement at any time.

Updated versions become effective immediately upon publication on this website.

Continued use of the Software constitutes acceptance of the revised Agreement.
